EveryMatrix bids to acquire Fantasma Games

EveryMatrix has announced a recommended public offer to acquire all shares of Fantasma Games AB at a price of SEK 59 (EUR 5.21) per share in cash for a total cash consideration of SEK 209.8 million (EUR 18.5 million).

Fantasma Games AB is listed on the Nasdaq First North Growth Market Sweden.

The offer acceptance period is expected to commence on 19 September 2024 and end on 10 October 2024.

EveryMatrix is ​​a highly successful global B2B iGaming software provider built on core products including its proprietary CasinoEngine casino platform, which generates record revenues for its customers.

The acquisition will significantly strengthen EveryMatrix’s gaming offering by immediately adding established games that are integrated with over 250 operators and played by millions of players in 50 countries.

EveryMatrix is ​​the world’s largest games aggregator through its SlotMatrix aggregation platform with over 29,000 games from 330+ third-party studios in addition to its in-house game development at Armadillo Studios.

Fantasma Games is a well-respected game developer with a strong management team and well-established game production and distribution operations. Fantasma has had a very strong run and recorded an EBITDA of €395,000 for Q2, a profitability of 36%. The proposed transaction will strengthen EveryMatrix’s gaming division due to strong synergies between both companies.

More than 50% of Fantasma Games shareholders have signed binding agreements to sell their shares. The offer is conditional on at least 90% of shareholders accepting the offer.

EveryMatrix will release further information upon completion of the process.
